Conditions of Sale
The CONDITIONS OF SALE of RYLE Manufacturing Company, hereinafter called the
"company", are as follows in order to give the "company" and the purchasers a clear
understanding. No additional or different terms and conditions of sale by the "company"
shall be binding on the "company" unless expressly consented to by the "company" in
writing. The acceptance by the "company" of an order from the purchaser is expressly
conditioned on the purchaser's agreement to said conditions of sale. The acceptance of
acknowledgement, whether written. oral, by conduct, or otherwise, by the "company" of
purchaser's order shall not constitute written consent by the "company" to any condition
to or change in said condition of sale.
WARRANTY is limited to the original user and we warrant the products we manufacture to
be free of defects in material and workmanship, of good salable quality, and possessing
the characteristics set forth in this warranty. We are not liable for consequential
damages (loss of profit, delays, etc.) whether based on contract or other. Claims for
defects in material and workmanship must be made within twelve (12) months from date of
shipment. When satisfactory proof of claim has been duly received by the "company" at the
factory, we will make necessary corrections or, at our option, replace defective parts
free of charge F.O.B. factory upon receipt of defective parts freight prepaid to factory.
IN LIEU OF ANY OTHER WARRANTY(S), EXPRESSED OR IMPLIED INCLUDING ANY WARRANTY(S) WHICH
MIGHT EXTEND BEYOND THE PRODUCT DESCRIPTION, THIS IS OUR FULL WARRANTY.
SHIPPING DATES will be made on or before quoted times except for delays caused by
circumstances beyond our control which delays we accept no liability for. Our liability
ceases upon delivery to carrier.
ROUTING will be shipped cheapest and fastest as best we can determine these variables
when customer has not specified routing with the order. In the event we choose a higher
cost routing or a slower delivery routing on an order that customer has not specified the
routing, we accept no liability for added expense or extra dely in receiving. We suggest
that customer specify routing and in lieu of such specification we will make the best
choice we can to ship the cheapest and fastest.
CANCELLATION must be accepted by us in writing. Cancellation will be accepted only on
terms indemnifying us against loss.
SUSPENSION OF or DELAY IN SHIPMENT must be accepted by us in writing and will be
accepted only on terms indemnifying us against loss.
OVERRUNS AND SHORTAGES on made-to-order and special items will occur on most
orders because more than the required number must be made to offset normal manufacturing
losses. Therefore, orders specials and made-to-order non-catalog items will be
accepted and shipped and invoiced only on the basis of plus or minus 5% of the quantity
ordered. In the event of a 5% shortage in shipment, this shortage will be subsequently
manufactured only on the basis of our accepting a new order to produce such parts. Orders
for specials and made-to-order non-catalog items will be accepted only on the basis that
customer will accept as complete shipment plus or minus 5% of the quantity ordered.
TAXES such as sales, use, consumer, etc., applicable to the sale, use, or purchase of any
item shipped is not included in catalog or quoted prices and will be paid by the buyer.
